SharkSignals provides an automated software integration tool ("Trade Orchestrator") that allows users to route third-party alerts (such as those from TradingView) to their personal brokerage or prop-firm accounts (such as via NinjaTrader). SharkSignals is strictly a technology provider. We do not provide trading signals, investment advice, financial planning, or broker-dealer services. You maintain absolute control over the strategies, risk parameters, and accounts you connect to our software.

2. Assumption of Absolute Risk

Trading in financial markets (including stocks, futures, forex, and cryptocurrencies) is inherently risky and is not suitable for all investors. By using SharkSignals, you explicitly acknowledge and agree to assume all risks associated with trading.

Key Risk Disclosures

The following outlines the fundamental risks you accept by using our automated software:

Capital Loss:

You agree that you should only risk capital that you can afford to lose. You acknowledge that trading on margin or with leverage can result in losses that exceed your initial deposits.

Historical Data:

You acknowledge that past performance is not indicative of future results. Backtested data, historical signals, and previous strategy success do not guarantee future profitability.

System Failures:

You accept that software, APIs, and internet connections are subject to latency, outages, and bugs. SharkSignals is not responsible for missed trades, double executions, or late entries caused by technical failures from TradingView, NinjaTrader, your broker, or our own servers.

No Financial Advice:

You agree that nothing on the SharkSignals website, documentation, or software constitutes financial, investment, or legal advice.

3. Complete Disclaimer of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

To the maximum extent permitted by applicable law, SharkSignals, Tang Investments Corporation, and its officers, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, capital, equity, or proprietary firm accounts (e.g., failed prop firm evaluations).

• Losses resulting from misconfigured alerts, improper position sizing, or incorrect stop-loss settings inputted by the User.

• Losses caused by third-party broker downtime, API connection loss, or data feed errors.

• Any bugs, glitches, or downtime within the SharkSignals software that results in unintended trade executions or failures to execute.

You agree that your use of the SharkSignals automated execution engine is at your sole and absolute risk. The software is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability or fitness for a particular purpose.

4. User Obligations and Responsibilities

To maintain access to SharkSignals, you agree to the following conditions:

• Account Security: You are solely responsible for safeguarding your login credentials, broker API keys, and connection passwords. SharkSignals will never ask for your broker account password directly, utilizing secure connection protocols (e.g., OAuth) where applicable.

• Monitoring Trades: While SharkSignals automates execution, you agree that you are solely responsible for monitoring your live trades, positions, and broker accounts. You agree not to "set and forget" the software without proper oversight.

• Lawful Use: You agree to use the Service only for lawful purposes and in accordance with the terms and conditions of your selected broker, trading platform (NinjaTrader), and signal provider (TradingView).

5. Intellectual Property

All software code, designs, text, graphics, and other materials related to the SharkSignals Service are the exclusive property of Tang Investments Corporation. You are granted a limited, non-exclusive, non-transferable license to use the software for your personal trading. You may not reverse-engineer, decompile, copy, or resell the SharkSignals software or any of its components.

6. Subscriptions, Payments, and Cancellations

SharkSignals is offered on a subscription basis. By subscribing, you agree to pay the fees displayed at checkout (e.g., $55/month after the initial early access period).

• No Hidden Fees: You will only be charged the agreed-upon subscription rate.

• Cancellation: You may cancel your subscription at any time. Upon cancellation, your access will remain active until the end of your current billing cycle.

• No Refunds: Due to the nature of software access, all subscription payments are non-refundable, except where required by law.

7. Indemnification

You agree to defend, indemnify, and hold harmless Tang Investments Corporation (SharkSignals) from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any trades executed via the software.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Alberta, Canada, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by updating the "Last Updated" date at the top of this document. Continued use of the Service after changes have been posted constitutes your acceptance of the revised Terms.
